By accessing the Website or placing an Order, you agree to these Terms. If you do not agree, you must discontinue using the Website and Services.

This agreement is entered into by and between Areopagus Commerce LLC, doing business as Offbeat Outlines (“the Company”), and you (“the Customer”), collectively referred to as “the Parties.”

• “Product”: The personalized animated puzzle created using your submitted photo(s).

• “AI Services”: Third-party artificial intelligence platforms used to stylize User Content

We grant you a limited, personal, non-exclusive, revocable, and non-transferable license to use the Website and Services for personal, non-commercial purposes.

4. User Content: Ownership, License, and Restrictions

By submitting any photographs, images, artwork, or other material (“User Content”) for use in our Products, you confirm that you own or have secured all necessary rights and permissions to upload and use such content.
ii. License Grant
• Scope: You grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, distribute, display, perform, and transform your User Content for the sole purpose of creating, delivering, and (where applicable) showcasing your personalized Products.
• Purpose: This license includes manufacturing and fulfilling your custom puzzle or animation, facilitating previews and quality checks, and—if explicitly approved by you—displaying a finished result as a sample.
iii. Prohibited Content
You agree not to submit any User Content that:
• Is unlawful, threatening, defamatory, harassing, or hateful;
• Involves or promotes violence, pornography, or exploitation of minors;
• Contains viruses, malicious code, or other harmful components;
• Violates any third-party intellectual property, privacy, or publicity rights; or
• Breaches any applicable law.
We reserve the right (but have no obligation) to review, remove, or refuse any User Content we believe violates these Terms or our policies.
iv. Children’s Images
If your User Content depicts minors, you represent that you are the parent or legal guardian of such minors or have obtained the relevant permissions. We comply with all applicable laws regarding children’s data protection.
v. No Resale
We will not repurpose, resell, or distribute your images beyond fulfilling your custom Order, unless required by law or court order.
vi. User Representations and Warranties
• Your User Content does not infringe or violate any intellectual property, privacy, or publicity rights;
• It is free of defamatory, obscene, or otherwise unlawful material; and
• You have authority to grant us the license described in these Terms.
vii. Indemnification for Infringement
You agree to defend, indemnify, and hold Areopagus Commerce LLC, doing business as Offbeat Outlines and its affiliates, officers, directors, employees, and agents harmless against any claims, damages, or losses arising from allegations that your User Content violates a third party’s rights (including but not limited to intellectual property, privacy, or publicity rights).

5. Use of AI and Third-Party Tools

i. Third-Party AI
We may use external AI Services to stylize or transform your submitted images. By uploading content, you authorize us to transmit your User Content to these platforms.
ii. Disclaimer
We do not control or assume responsibility for how these external AI Services store, process, or retain data.
iii. Variable Outcomes
AI stylization is subjective and algorithmic. Results may vary, and we do not guarantee any specific artistic effect.

6. Order Placement and Acceptance

i. Offer and Acceptance
Placing an Order constitutes your offer to purchase. We accept when we confirm via email with details such as product summary, invoice, and estimated delivery date.
ii. Accuracy
You must review all Order details (e.g., shipping address, design preview) before production starts. We are not liable for any errors or omissions once production begins.
iii. Order Review and Cancellation
We may decline or cancel an Order at any time if we reasonably believe the submitted content could infringe third-party rights or violate our policies. If an Order is canceled on these grounds, any refund will follow our Refund Policy.

7. Fulfillment, Delivery, and Acceptance

i. Estimated Delivery
Delivery dates are estimates, not guarantees. We will use reasonable efforts to meet them, but circumstances like design adjustments, holiday backlogs, or force majeure events can cause delays.
ii. Production & Delivery Timing
Personalized or stylized products may require additional steps (e.g., design reviews, QA checks), which can extend normal production times.
iii. Transfer of Risk
Risk of loss or damage passes to you upon delivery to the address specified in your Order.
iv. Inspection and Defects
Inspect items upon arrival. Report any defects or incorrect items within 7 days; otherwise, Products are deemed accepted in good condition.
v. Refused/Incorrect Address
If delivery fails due to an incorrect address or refusal, you may be responsible for additional shipping or handling costs.

8. Pricing and Payment

i. Currency
Prices are listed in dollars. They may include or exclude taxes as noted. Shipping fees, if any, are shown at checkout.
ii. Payment Methods
We accept secure payment via third-party providers (e.g., credit cards). Full payment is required to process your Order.
iii. Pricing Errors
We reserve the right to correct pricing errors or misprints. If the correct price is higher than initially listed, we will contact you before proceeding.

Once production has begun, Orders generally cannot be canceled due to the custom nature of the Product.

Customized Products may vary slightly from on-screen previews in terms of color, cropping, or other minor details. Such normal variations do not constitute defects.
iii. Refunds/Exchanges for Personalized Items
Because these Products are unique and customized, refunds or replacements are not offered if you simply change your mind. We only consider returns, refunds, or exchanges if:
o The final Product significantly deviates from your submitted image, text, or instructions (e.g., a manufacturing error); or
o The Product is defective in a way that goes beyond ordinary printing or production variances.
iv. Reporting Defects
For any defects or errors, contact us within 3 days of delivery with visual evidence. If approved, items must be returned in original condition if requested.
v. Discretionary Remedies
At our sole discretion, we may offer a replacement or refund if your issue meets the criteria above.

10. Promotions, Discounts, and Special Offers

i. Usage
Promotional codes or discounts are subject to specific terms and conditions. They typically cannot be combined unless explicitly stated.
ii. One Per Order
Only one promotion may apply per Order unless otherwise noted.
iii. No Retroactive Application
Promotions cannot be applied to past Orders or once an Order is finalized.
